Special Meeting: KCEDA Bylaw Updates

A select group of KCEDA Officers have, at the direction of the KCEDA Executive Committee, evaluated and created necessary modifications to comply with current regulatory statutes. In coordination with an attorney who specializes in Non-profit Organizations, this group has drafted several updates. This draft has been reviewed by the KCEDA Executive Committee, who has instructed the KCEDA staff to provide members a copy of the attached draft. We have included a “clean” copy, as well a “mark up” version which identifies specific recommended changes. All suggested updates to the by-laws were required to:
- Modernize the organization to bring in alignment with current statutes;
- Separate organizational operations from governance;
- Move operational components out of the bylaws and into board policy manual;
- Create mechanism (Board Policy Manual) for more robust documentation of how to conduct the duties and responsibilities of the Board, Various Committees, and the Executive Director, to more effectively conduct the affairs of the KCEDA organization.

Please mark your calendar for a members meeting on April 7, 2022 to vote and approve these by-laws. This meeting will be at the Coldwell Banker Building on S. 6th Street, starting @ 5:15PM.
